The Corporate Transparency Act… What you need to know, and understanding the reporting requirements.

 

We as professionals, being in the estate and tax planning and wealth management field, separates us from many other professionals. We must be intimately familiar with our clients’ worlds, their wealth, and their financial assets; and all of the issues that accompany those aspects of their lives. Financial assets, wealth and estate planning are inextricably linked. This is even more true and more important when talking about a business owner. How a client structures, organizes, manages, invests, buys, sells, and so on – all impacts the estate plan and the work we do.

 

The Corporate Transparency Act (CTA) was enacted in 2021 and just took effect in (January 1) 2024. While the initial goals and objectives were “to help prevent and combat money laundering, terrorist financing, corruption, tax fraud, and other illicit activity, while minimizing the burden on reporting entities.” – are we not far away from that target? Today, even FinCEN (the Financial Crimes Enforcement Network, which is a bureau of the U.S. Department of the Treasury) acknowledges the enormous reporting burden imposed by the CTA. What are we supposed to do?

 

There are countless questions. There are major concerns. Who has to file? Who will handle the filing? Are there exceptions or exemptions? What do we as professionals really need to do and how do we properly advise our clients. The GNJEPC is very proud and excited to have none other than Gianfranco Pietrafesa, Esq., from the law firm of Archer & Greiner, P.C. (Hackensack, NJ), present to us LIVE on this very important and very timely topic. Gianfranco is a partner at Archer, where he specializes in Corporate and M&A work. His expertise includes business formation and corporate governance, as well as his focus on corporate/business transactions and mergers and acquisitions. Gianfranco also specializes in the protection aspects of businesses, business assets and information. He is the former Chair of the Board of Directors of the Business Law Section of the New Jersey State Bar Association, and he has served on the select committee that drafted the New Jersey Revised Uniform Limited Liability Company Act.

 

Gianfranco has lectured extensively on the topics of entities, corporations, and LLCs, as well as corporate contract drafting, and legal ethics. He is the author of numerous articles on corporate law, LLCs, contract drafting, litigation, and legal ethics; and he has served on the Editorial Board of New Jersey Lawyer Magazine for 15 years.

 

Gianfranco is going to educate and inform us what we need to know, and what we need to be doing for our clients. He has lectured extensively on the CTA, but more importantly, he has dealt with it, with his clients, and he’s going to share his expertise and every day, in the trenches, knowledge with us!
